These Terms of Use ("Terms") govern your access to and use of the services provided by Yumepath AI Inc., a Delaware Corporation ("AtomicAds," "we," "our," or "us") through its website, platform, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree with these Terms, you may not access or use the Platform.

1. Scope of Services

The Platform provides tools for campaign quality assurance, performance monitoring, reporting automation, and workflow enhancement, including integrations with advertising platforms such as Google DV360, Meta Ads, The Trade Desk, Google Ads, StackAdapt, and LinkedIn. Some features are available for free, while others may require a paid subscription.

2. Eligibility and Account Registration

You must be at least 18 years old and have the authority to agree to these Terms. Registration may be required to access certain features. You agree to provide accurate information and are responsible for maintaining the confidentiality of your credentials.

3. Use of the Platform

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for your internal business purposes. You agree not to:

Reproduce, distribute, or modify the Platform or its content;
Reverse engineer or decompile the Platform;
Violate any applicable law while using the Platform;
Disrupt the Platform’s integrity or performance.

4. Third-Party Integrations

You may connect third-party advertising accounts to the Platform. By doing so, you authorize us to access and process data from those accounts solely to provide the Platform's functionality. We are not responsible for the accuracy, availability, or legality of third-party data. Your use of those services is governed by their respective terms.

5. APIs and Rate Limits

We may limit access to our APIs to preserve system integrity and fair use. We reserve the right to modify, suspend, or terminate API access at any time without notice. You may stop using the APIs at any time by discontinuing access.

6. Fees and Payment

Certain Platform features may require payment. You agree to pay applicable fees, including taxes. We reserve the right to change pricing with reasonable notice. Failure to pay may result in suspension or termination of access to paid services.

7. Termination

We may terminate or suspend your access at our discretion if you violate these Terms or applicable laws. You may also terminate your use at any time. Certain provisions, such as those relating to intellectual property and liability, will survive termination.

8. Intellectual Property

We retain all rights to the Platform and its content, excluding third-party content. You may not use our trademarks or logos without written consent.

9. Disclaimer of Warranties

The Platform is provided "as is" and "as available," without warranties of any kind. We do not guarantee the accuracy, completeness, or reliability of any Platform data.

10. Limitation of Liability

To the extent allowed by law, we are not liable for indirect, incidental, or consequential damages. Our total liability will not exceed $100 or the total fees you paid to us in the last six months, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless AtomicAds and its affiliates from any claims or liabilities arising from your use of the Platform or violation of these Terms.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Delaware, United States. Any disputes will be resolved exclusively in the state or federal courts of Delaware.

13. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on our website with the updated "Last Updated" date. Continued use of the Platform constitutes acceptance of the revised Terms.
